TERMS AND CONDITIONS GOVERNING SP DIGITAL PTE LTD'S ("SPD") LUCKY DRAW CHANCES CAMPAIGN (1 NOVEMBER 2023 TO 29 FEBRUARY 2024) ("CAMPAIGN")

  1. This Campaign is only valid from 1 November 2023 to 29 February 2024, both dates inclusive (the "Campaign Period"). By participating in this Campaign, you are deemed to have agreed to be bound by the terms and conditions of this Campaign as set out in this document (the "Terms").

  2. To participate in the Campaign, you must:
    1. consent to participate in the Campaign via the SP app ("SP APP") Campaign banner during the Campaign Period, and accept the terms and conditions governing the use of the SP APP (the "Standard Terms");
    2. consent to provide your email address that has been recorded in the SP APP to AXS;
    3. successfully complete the stipulated "Challenge" in the SP APP during the Campaign Period; and
    4. adhere to the Terms and the Standard Terms.

  3. For the purposes of this Campaign, successful completion of the "Challenge" within the SP APP during the Campaign Period refers to the participation in and completion of the "What's your Carbon Footprint?" GreenUP Challenge in the SP APP. You will be prompted to, and are required to, grant your consent before completing the quiz.

  4. Only participants who successfully complete the "Challenge" shall be eligible to receive up to 10 lucky draw chances, PROVIDED ALWAYS that a participant's final eligibility will be determined by AXS at its sole discretion, and provided that the conditions of eligibility have been met utilising the SP APP. For the avoidance of doubt, regardless of whether you receive the lucky draw chances during this Campaign or not, your qualifying GreenUP Plant status will be neither improved nor affected by your participation in this Campaign.

  5. The lucky draw chances are awarded by AXS on a first-come-first-served basis and are subject to availability. AXS will notify the lucky draw winners directly. SPD has no obligation to update any user on the availability of the lucky draw chances or on the number of Campaign participants (successful or otherwise).

  6. The lucky draw chances can only be awarded if the email address that you used to participate in the Challenge on the SP APP is the same as your email address registered with AXS. If the records do not match, you shall be automatically disqualified. Each email address on AXS's records is only eligible for one issuance of 10 lucky draw chances in this Campaign.

  7. The final decision on your disqualification will be made by AXS at its sole discretion. No appeal against disqualification will be entertained by either SP Digital Pte. Ltd. ("SPD") or AXS.

  8. The lucky draw chances are non-transferable and not exchangeable for cash, or other goods and services.

  9. By participating in this Campaign and in addition to any other consent you have already provided to SPD, for example via the use of the SP APP, and any right of SPD under applicable laws, you consent to SPD collecting, using and disclosing your information (including your registered email address) for the purposes of this Campaign, including to share your email address with AXS for the purposes of the Campaign, for example, awarding of the lucky draw chances and to contact you. Personal Information and data submitted to SPD via the SP APP shall be treated in accordance with the SP Group's Personal Data Protection Policy which can be found at https://www.spgroup.com.sg/personal-data-protection-policy. In using the SP APP, you acknowledge and agree to be bound by the Standard Terms, as well as the SP Group's Personal Data Protection Policy.

  10. SPD is not an agent of AXS and neither is AXS an agent of SPD. SPD assumes no liability or responsibility for the acts or defaults of AXS or any defects in the lucky draw chances or in the goods or services provided by AXS in connection with the use of the lucky draw chances. SPD makes no representation or warranty as to the quality, merchantability or fitness of the lucky draw chances or any goods or services provided by AXS in connection with the use of the lucky draw chances. Any dispute regarding the quality or service standard of the lucky draw chances or goods or services provided by AXS in connection with the use of the lucky draw chances must be resolved directly with AXS.

  11. SPD shall not be responsible for any liabilities, fees, costs, losses, damages, claims, expenses and/or injuries of any person howsoever incurred or suffered, whether directly or indirectly or consequentially, in relation with the Campaign or otherwise. SPD shall not be responsible for any incorrect awarding of lucky draw chances due to an incorrect email address, or any other incorrect instructions provided by you.

  12. You agree that SPD, its affiliates, agents and respective officers and employees shall not be liable for any actions, claims, demands, injuries, proceedings, liability, losses, damages, costs and expenses of any nature sustained by the you directly or indirectly by reason of or in connection with this Campaign. You will indemnify and keep fully indemnified SPD and its affiliates and its and its affiliates' officers, servants, agents and employees (the "Indemnified Parties") against any and all losses, damages, liabilities, claims, expenses and costs (including legal costs on a full indemnity basis) suffered and/or incurred by any of the Indemnified Parties as a result of the breach of any of the Terms herein by you.

  13. SPD reserves the right, at its sole and absolute discretion, to suspend or cancel the Campaign or any of the Terms herein, at any time without prior notice or any liability to you.

  14. SPD reserves all rights to (i) substitute the lucky draw chances; (ii) forfeit or reclaim the lucky draw chances where a participant is subsequently discovered to be ineligible; (iii) update these Terms without prior notification and participation in this Campaign at any time shall be bound by any such update; and (iv) make determinations and decisions on all matters relating to the Campaign which shall be final, conclusive and binding. SPD may substitute the lucky draw chances with any item of equivalent or similar value, without any prior notice or reason or being liable to any person. No appeal against any of SPD's decisions will be entertained by SPD.

  15. The Standard Terms shall continue to apply to this Campaign. In the event of any inconsistency between these Terms and the Standard Terms or these Terms and any advertising, campaign, publicity, brochure, marketing or other materials relating to or in connection with the Campaign, these Terms shall, only to the extent of such inconsistency, prevail in respect of matters relating to this Campaign.

  16. Unless otherwise stated, this Campaign is not valid for use in conjunction with other offers, privileges or campaigns offered within the SP APP.

  17. These Terms shall be governed by the laws of the Republic of Singapore, and you agree to submit to the exclusive jurisdiction of the Singapore courts. A person not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce these Terms.
