TERMS AND CONDITIONS GOVERNING SP DIGITAL PTE LTD’S (“SPD”) GRABREWARDS POINTS CAMPAIGN (2 MARCH 2023
TO 31 MARCH 2023) (“CAMPAIGN”)
This Campaign is only valid from 2 March 2023 to 31 March 2023, both dates inclusive (the
"Campaign Period"). By participating in this Campaign, you are deemed to have agreed to be bound
by the terms and conditions of this Campaign as set out in this document (the "Terms").
To participate in the Campaign, you must:
consent to participate in the Campaign via the SP app ("SP
APP") Campaign banner during the Campaign Period;
consent to provide your valid mobile number that is registered with
the GRAB mobile app ("GRAB APP");
successfully complete the stipulated "Challenges" in the SP APP during
the Campaign Period; and
adhere to the Terms.
For the purposes of this Campaign, successful completion of "Challenges" within the SP APP
during the Campaign Period refers to:
completing "Challenge 1" by completing the "Add Family Members to Share
Utilities" GreenUP Challenge.
"Challenge 1" involves user participating in the Campaign and completing the "Add Family Members
to Share Utilities" GreenUP Challenge. User can complete aforementioned GreenUP Challenge by
adding their family member to their utilities account. To add a family member to their utilities
account:
User must first be a main utilities account owner and have linked their
utilities account with their SP APP;
User must not have completed the "Add Family Members to Share Utilities"
GreenUP Challenge;
User will go to the Profile page on the SP APP and select the Premises they
would like to add their family member to;
Then User will select to invite their family member via scanning their family
members QR code or sending out an email invite to their family member’s email address;
Then the User’s family member will be required to have a valid SP APP account
to accept the invite;
Once the User’s family member has accepted the invite the "Add Family Members
to Share Utilities" GreenUP Challenge will be automatically completed; and
Once the
GreenUP Challenge is completed, "Challenge 1" of the Campaign will be automatically
completed
This Campaign is solely offered to selected SP APP users only, as mentioned in Paragraph 2 and
Paragraph 4. If you are among the selected SP APP users and are the first 5,000 participants in
this Campaign to fulfil all of the conditions in Paragraph 3 above (the "First 5,000"), you
shall be eligible to receive a one-time 500 GRAB Rewards points ("GrabRewards points") that will
be credited to your GRAB APP account that is linked to your registered mobile number. For the
avoidance of doubt, whether you receive or do not receive GrabRewards points during this
Campaign, your qualifying GreenUP Plant status will neither be improved or affected by your
participation in this Campaign.
The GrabRewards points are awarded on a first-come-first-served basis and are subject to
availability. In the event of any dispute, SPD shall decide the award of the GrabRewards points
at its sole and absolute discretion. SPD has no obligation to update any user on the
availability of the GrabRewards points or on the number of Campaign participants (successful or
otherwise).
If you are within the First 5,000 based on the allocation stated in Paragraph 5, you will be
requested to provide by 20 April 2023, the mobile number which you registered with the GRAB APP.
If you provide this information by the deadline, you will be notified as a winner via the SP APP
by 30 April 2023 and the applicable GrabRewards points will be credited into your GRAB APP
account by 31 May 2023 or such other date as may be determined by SPD in its sole and absolute
discretion. To be clear, the GrabRewards points can only be credited if the mobile number that
you have provided to us is on GRAB’s records. If the records do not match, you shall be
automatically disqualified. Any successful completion of the Challenges through the use of
multiple SP APP accounts (or any other methods) which are created with the same mobile number on
GRAB’s records will also be automatically disqualified. Each mobile number on GRAB’s records is
only eligible for one issuance of GrabRewards points in this Campaign.
Employees of SP Group are not eligible to participate in this Campaign.
SPD’s decision on any such disqualification decision is final and no appeal against
disqualification will be entertained by SPD.
The GrabRewards points are non-transferable and not exchangeable for cash, or other goods and
services.
By participating in this Campaign and in addition to any other consent you have already provided
to SPD, for example via the use of the SP APP, and any right of SPD under applicable laws, you
consent to SPD collecting, using and disclosing your information (including your registered
mobile number) for the purposes of this Campaign, including to share your mobile number with
GRAB for the purposes of the Campaign, for example, crediting of the GrabRewards points, and to
contact you. Personal Information and data submitted to SPD via the SP APP shall be treated in
accordance with our Personal Data Protection Policy. In using the SP APP, you acknowledge and
agree to be bound by our Personal Data Protection Policy.
GRAB has no affiliation with SPD and GRAB has neither authorised nor endorsed SP APP in relation
to this Campaign. All queries relating to the Campaign shall be directed to SPD.
SPD is not an agent of GRAB and neither is GRAB an agent of SPD. SPD assumes no liability or
responsibility for the acts or defaults of GRAB or any defects in the GrabRewards points or in
the goods or services provided by GRAB in connection with the use of the GrabRewards points. SPD
makes no representation or warranty as to the quality, merchantability or fitness of the
GrabRewards points or any goods or services provided by GRAB in connection with the use of the
GrabRewards points. Any dispute regarding the quality or service standard of the GrabRewards
points or goods or services provided by GRAB in connection with the use of the GrabRewards
points must be resolved directly with GRAB.
The GrabRewards points awarded are subject to any terms and conditions which may be imposed by
GRAB's Rewards Program, including,
but not limited to, that the GrabRewards points only have a validity period of 1 year from
date of issuance and that the GrabRewards points
awarded are not eligible for tier upgrading or maintenance. You shall be solely responsible for
complying with any such terms and conditions.

SPD shall not be responsible for any fees, costs, losses, damages, claims, expenses and/or
injuries of any person howsoever incurred or suffered,
whether directly or indirectly or consequentially, in relation with the Campaign or otherwise.
SPD shall not be responsible for
any incorrect awarding of GrabRewards points due to an incorrect mobile number or any other
incorrect instructions provided by you.
You agree that SPD, its affiliates, agents and respective officers and employees shall not be
liable for any actions, claims, demands, injuries, proceedings, liability, losses, damages,
costs and expenses of any nature sustained by the you directly or indirectly by reason of or in
connection with this Campaign. You will indemnify and keep fully indemnified SPD and its
affiliates and its and its affiliates’ officers, servants, agents and employees (the
“Indemnified Parties”) against any and all losses, damages, liabilities, claims, expenses and
costs (including legal costs on a full indemnity basis) suffered and/or incurred by any of the
Indemnified Parties as a result of the breach of any of the Terms herein by you.
SPD reserves the right, at its sole and absolute discretion, to suspend or cancel the Campaign
or any of the Terms herein, at any time without prior notice or any liability to you.
SPD reserves all rights to (i) substitute the GrabRewards points; (ii) forfeit or reclaim the
GrabRewards points where a participant is subsequently discovered to be ineligible; (iii) update
these Terms without prior notification and participation in this Campaign at any time shall be
bound by any such update; and (iv) make determinations and decisions on all matters relating to
the Campaign which shall be final, conclusive and binding. SPD may substitute the GrabRewards
points with any item of equivalent or similar value, without any prior notice or reason or being
liable to any person. No appeal against any of SPD’s decisions will be entertained by SPD.
Prevailing terms governing SP APP Terms and Conditions (“Standard Terms”) shall continue to
apply to this Campaign. In the event of any inconsistency between these Terms and the Standard
Terms or these Terms and any advertising, campaign, publicity, brochure, marketing or other
materials relating to or in connection with the Campaign, these Terms shall, only to the extent
of such inconsistency, prevail in respect of matters relating to this Campaign.
The GrabRewards points are personal to you and SPD will not entertain any requests to assign the
GrabRewards points to any other third party.
Unless otherwise stated, this Campaign is not valid for use in conjunction with other offers,
privileges or campaigns offered within the SP APP.
These Terms shall be governed by the laws of the Republic of Singapore, and you agree to submit
to the exclusive jurisdiction of the Singapore courts. A person not a party to these Terms has
no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce these
Terms.
